After working hard to run your business, when it is time to sell you want to ensure that you do so on the best possible terms. We can assist you in all aspects of the sale of your business, including:
-
The contract: We will take your detailed instructions as to the terms on which you wish to sell your business. When you provide those instructions we will advise you on issues that commonly arise when selling a business and will assist you in determining contractual terms that will give effect to your goals and intentions. We can also liaise with your accountant in relation to taxation issues such as GST, Capital Gains Tax, etc.
-
Negotiations: Once you have found a buyer, we will advise and assist you in relation to negotiations as to the contract terms (usually put to us by the solicitor for the prospective purchaser), to ensure that an agreement is reached that provides you with the best possible commercial contract.
-
The business premises: Whether you lease or own the premises from which the business is conducted, we can assist you in transferring rights to the purchaser of your business to occupy those premises. If you lease or licence the premises we can liaise with the lessor to seek consent to an assignment of the current lease to the purchaser or to seek agreement from the lessor to grant a new lease or licence to the purchaser. Alternatively, if you own the premises and wish to sell them, we can act for you on the sale of that property to the business purchaser. Or, if you wish to sell the business but retain ownership of the premises we can act on your behalf in granting a new lease or licence to the purchaser.
It is imperative when selling a business that you seek proper legal advice. Our business and commercial lawyers have extensive experience in these transactions and will guide you through the process.
